The State of Georgia, like other states, requires that businesses registered with the Secretary of State have a Registered Agent associated with the business. When an entity is formed in Georgia, the name and address of the Registered Agent is required information in the filings. The agent can be changed at any time on the Secretary of State’s website by filing the annual registration or an amended annual registration.

Who Can Serve as Registered Agent?
The registered agent must be a person or entity located in the State of Georgia with a street address in Georgia at which the agent is located.  For many businesses, one of the owners, shareholders or officers serves as the agent. In other instances, the company’s attorney is designated as the agent or a professional corporate service company is designated.

What Does a Registered Agent Do?
The registered agent is the person or entity designated by the business to receive any service or process, documents or other official communication on behalf of the business. In plain English, if the business is sued, the lawsuit will be served on the registered agent and official documents related to lawsuits will be sent to the agent.
